The leader of BakerHostetler’s Digital and Innovative Markets team and a co-leader of the Web3 and Digital Assets team, Teresa Goody Guillén has extensive experience in securities, litigation, investigations and corporate matters, including both capital and crypto markets, and Web3 and digital assets more broadly. A seasoned advocate, she has a strong track record representing companies and individuals in U.S. Securities and Exchange Commission (SEC) and other government investigations and enforcement actions. Teresa also handles complex litigation involving high-stakes corporate and shareholder disputes and conducts independent investigations for corporate boards. Her practice spans securities, compliance and corporate governance. Teresa advises clients on capital raises under Regs S, D, A+ and CF. Her experience extends to emerging fields such as blockchain and associated protocols, digital assets (including NFTs), DAOs, Web 3.0, AI, DeFi platforms, ATSs and MSBs. Teresa provides guidance navigating the evolving regulatory landscape surrounding digital assets, particularly securities laws, commodities laws and anti-money laundering regulations.
Teresa has extensive experience representing a diverse range of clients, including public and private companies, financial institutions, investment managers, boards of directors and corporate officers, in complex financial, disclosure and corporate governance matters. She combines her legal proficiency with strong business acumen to provide strategic advice to clients ranging from individuals and start-ups to Fortune 500 companies. Teresa leverages her MBA and Certified Fraud Examiner credentials to deliver business-focused, strategic solutions to her clients’ most complex legal challenges. She is skilled at seeing challenges from all angles, identifying unintended consequences and understanding the broader, tertiary effects of decisions.
